Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Gallic platform, including work.gallic.com, compute.gallic.com, and related services (collectively, the "Service") operated by Gallic ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account or using the Service, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Eligibility
You must be at least 16 years of age to use the Service. By using the Service, you represent and warrant that you meet this requirement and have the legal capacity to enter into these Terms.
3. Account Registration
To use the Service, you must create an account by providing accurate and complete information. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized use of your account
We reserve the right to suspend or terminate accounts that contain inaccurate information or violate these Terms.
4. Use of the Service
The Service provides business management tools, including but not limited to accounting, inventory management, customer relationship management, payroll, and communications. You agree to use the Service only for lawful purposes and in accordance with these Terms.
You agree NOT to:
- Use the Service for any unlawful or fraudulent purpose
- Attempt to gain unauthorized access to any part of the Service or its systems
- Interfere with or disrupt the Service or servers connected to the Service
- Reverse engineer, decompile, or disassemble any part of the Service
- Use the Service to transmit malware, spam, or other harmful content
- Resell, sublicense, or redistribute the Service without our written consent
- Upload data that infringes the intellectual property rights of others
5. Your Data
You retain ownership of all data you enter into the Service ("Your Data"). By using the Service, you grant us a limited license to host, store, process, and display Your Data solely for the purpose of providing the Service to you.
You are solely responsible for the accuracy, quality, and legality of Your Data and the means by which you acquired it. We are not responsible for any loss or corruption of Your Data, though we take reasonable measures to prevent such occurrences.
6. Subscription and Payment
Certain features of the Service require a paid subscription. By subscribing to a paid plan:
- You agree to pay all fees associated with your selected plan
- Fees are billed in advance on a recurring basis (monthly or annually, as selected)
- All fees are non-refundable except as expressly stated in these Terms or required by law
- We may change pricing upon 30 days' notice; continued use after the change constitutes acceptance
Payments are processed through Stripe. Your use of Stripe is subject to Stripe's Terms of Service.
7. Intellectual Property
The Service and its original content (excluding Your Data), features, and functionality are and will remain the exclusive property of Gallic. The Service is protected by copyright, trademark, and other applicable laws. Our trademarks may not be used without our prior written consent.
8. Confidentiality
We treat Your Data as confidential and will not access it except as necessary to provide the Service, resolve technical issues, or comply with legal obligations. We will not disclose Your Data to third parties except as described in our Privacy Policy.
9. Service Availability
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of planned downtime.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GALLIC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, WHETHER IN AN ACTION IN CONTRACT, TORT, OR OTHERWISE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED.
12. Indemnification
You agree to indemnify, defend, and hold harmless Gallic and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
13. Termination
You may terminate your account at any time by contacting us at support@gallic.com. We may suspend or terminate your access to the Service at any time, with or without cause, upon notice to you.
Upon termination:
- Your right to use the Service will immediately cease
- We will make Your Data available for export for a period of 30 days, after which it may be deleted
- Provisions that by their nature should survive termination will survive, including ownership, warranty disclaimers, indemnification, and limitations of liability
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Gallic operates, without regard to conflict of law principles.
15. Dispute Resolution
Any disputes arising from these Terms or your use of the Service shall first be resolved through good-faith negotiation. If the dispute cannot be resolved informally within 30 days, it shall be submitted to binding arbitration in accordance with the rules of the applicable arbitration association.
16. Changes to These Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Effective Date." Your continued use of the Service after such changes constitutes your acceptance of the revised Terms.
17. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
18. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Gallic regarding the use of the Service and supersede all prior agreements and understandings.
